Terms of Service for B-Labs

By accessing the website at https://b-labs.info, downloading any of our software applications (including ImageResizer), or entering into a Master Services Agreement (MSA) or Statement of Work (SOW) with B-Labs ("we", "us", or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any of these terms, you are prohibited from using or accessing our website and digital products.

B-Labs provides bespoke software engineering, mobile application development, cloud architecture, AI solutions, and UI/UX design. All bespoke engagements are governed by formal Statements of Work (SOWs) outlining project scope, deliverables, payment schedules, and acceptance criteria.

• Milestone Acceptance: Clients have a standard 14-day review period following milestone delivery to verify functionality against acceptance criteria.
• Warranty Period: All bespoke software delivered by B-Labs includes a 30-day bug-fix warranty post-deployment to ensure stability.

For custom engineering projects, upon receipt of full payment for agreed milestones, B-Labs assigns and transfers to the Client all worldwide rights, title, and interest in and to the custom software code, designs, and deliverables created specifically for the project.

B-Labs retains all proprietary rights to its pre-existing frameworks, developer tooling, foundational libraries, and internal software products (including ImageResizer and its proprietary Metal pipeline algorithms).

For B-Labs software distributed via the Apple App Store or other application marketplaces:

• License Grant: We grant you a personal, non-transferable, non-exclusive license to use the app in accordance with the Apple Standard End User License Agreement (EULA).
• In-App Purchases: Subscriptions and Lifetime purchases (e.g. ImageResizer Pro) are processed securely through Apple StoreKit. Billing, renewals, and refunds are managed directly via your Apple ID account settings.
• On-Device Privacy: Image processing occurs 100% locally on your device without transmitting source media to external servers.

We treat all client business concepts, proprietary technical documentation, API keys, and roadmaps with strict confidentiality. Standard mutual non-disclosure agreements (NDAs) are executed prior to project technical discovery upon request.

To the maximum extent permitted by applicable law, in no event shall B-Labs or its directors, engineers, or partners be liable for any indirect, punitive, incidental, special, or consequential damages resulting from the use or inability to use our website, apps, or services.

Our total liability under any contract or claim shall not exceed the total fees paid by the client to B-Labs under the specific SOW in the preceding 6 months.

B-Labs reserves the right to revise these Terms of Service at any time. Changes will be posted to this page with an updated effective date.

These terms shall be governed by and construed in accordance with applicable laws, without regard to its conflict of law provisions.
